- Reviewing the Franchise Agreement and related offering and disclosure documentation for relevant legal issues, potential points of negotiation and to ensure clients understand the scope of the relationship and their legal rights and responsibilities
- Preparing any necessary Amendments, Addendums, Rights of First Refusal or Letters of Understanding to append the Franchise Agreement
- Setting up and structuring operating entities to own and operate the franchise
- Providing assistance to newly established franchisees with any necessary business or real estate matters, including permitting and licensing, real estate development/acquisition, leasehold concerns and employment issues
Assisting business owners with the process of franchising their businesses:
- Review of financial model and business operations to determine "franchisability" of business concept
- Consulting owners on the business aspects of franchising
- Advising on the establishment and preparation of the franchise system and corresponding manuals
- Assisting with the selection, use, and registration of trademarks and copyrights
- Setting up and structuring controlling entities to operate the franchise
- Preparing all necessary disclosure documents, Franchise Agreements, Exhibits, and other pertinent documentation for registration and sales for the franchise
- Registration of franchises in the various registration states, as well as handling annual renewal and re-registration requirements
- Assisting with the procurement of franchisees and the various legal issues in negotiating, amending and revising the Franchise Agreement for franchisees
- Advising on necessary disclosures and changing business/legal issues in franchising; and otherwise working with owners to expand and grow their franchise operation on an ongoing basis
